Seacoast Banking Corporation Reports Significant Q4 2025 Growth Following Major Acquisition

Seacoast Banking Corporation of Florida (NASDAQ: SBCF) reported a net income of $34.3 million for the fourth quarter of 2025, or $0.31 per diluted share. This performance was heavily influenced by the October 1, 2025, completion of its acquisition of Villages Bancorporation, Inc. (VBI), which added approximately $4.4 billion in assets, $1.2 billion in loans, and $3.5 billion in deposits to the franchise. On an adjusted basis, net income reached $47.7 million, or $0.44 per diluted share, representing an 18% increase over the prior year quarter.

The results included $23.4 million in day-one credit provisions related to the VBI acquisition. Despite these costs, the company saw significant expansion in its net interest income and a record-breaking year for its wealth management division.

Core Financial Performance and Margin Expansion

The integration of VBI significantly bolstered Seacoast’s revenue streams during the final quarter of the year.

Net Interest Income: Totaled $174.6 million, a 51% increase year-over-year and 31% growth from the third quarter of 2025.

Net Interest Margin (NIM): Reported at 3.66%. Excluding the impact of accretion on acquired loans, NIM expanded 12 basis points from the prior quarter to 3.44%.

Cost of Deposits: Declined by 14 basis points to 1.67%, driven by a strategic effort to lower rates on certain account categories.

Efficiency: The adjusted efficiency ratio improved to 54.5%, down from 60.0% in the prior year quarter, reflecting well-controlled expenses amid the acquisition integration.

Strategic Growth, Portfolio Repositioning and Executive Commentary

The VBI acquisition has established Seacoast as the market leader in the Wildwood-The Villages MSA. Beyond this integration, the bank expanded its physical presence by opening its first branch in the greater Atlanta market and a new location in Bradenton, Florida.

Charles M. Shaffer, Chairman and CEO of Seacoast, noted that the quarter represented a pivotal moment for the franchise. He stated that the successful integration of the VBI acquisition has established Seacoast as a market leader in The Villages, providing a stable, low-cost deposit base that will fuel future lending. Shaffer further commented that the decision to reposition the securities portfolio in early 2026 was a move to “fortify the margin” and ensure the bank enters the new year with optimized earnings potential.

Tracey L. Dexter, Chief Financial Officer, highlighted the bank’s operational discipline, stating that the improvement in the efficiency ratio demonstrates the company’s ability to scale without a proportional increase in overhead. She noted that the “fortress balance sheet” provides ample liquidity to support both organic growth and the ongoing integration of acquired assets.

In January 2026, management took further steps to optimize the balance sheet by repositioning a portion of the available-for-sale securities portfolio. The company sold $277 million in securities with an average yield of 1.9% and reinvested the proceeds into agency mortgage-backed securities yielding approximately 4.8%. While this will result in a pre-tax loss of approximately $39.5 million in the first quarter of 2026, the move is expected to be immediately accretive to earnings and NIM.

Wealth Management and Loan Portfolios

Seacoast’s wealth management division reached a new milestone, with assets under management (AUM) growing to $2.8 billion, a 37% increase year-over-year. The division added $549 million in new organic AUM throughout 2025, reflecting the bank’s success in cross-selling services to its expanded client base.

Total loans reached $12.6 billion, with organic loan growth for the quarter at 15% on an annualized basis. The bank maintains a “fortress balance sheet” with a Tier 1 capital ratio of 14.4% and a tangible equity to tangible assets ratio of 9.3%.

Regarding credit quality, the total allowance for credit losses stood at $179 million, or 1.42% of total loans. This increase was primarily due to the $23.4 million in “day-one” credit provisions required for the VBI loan portfolio. Non-performing assets remained low at 0.44% of total assets.

2026 Outlook and Management Strategy

For the full year 2026, Seacoast’s management provided an optimistic outlook based on a stable economic environment and projected interest rate cuts in June and September.

2026 Financial Targets:

Adjusted Earnings Per Share: $2.48 – $2.52

Adjusted Revenue Growth: 29% – 31%

Adjusted Return on Tangible Equity (ROTE): 16.0%

Adjusted Efficiency Ratio: 53% – 55%

Organic Loan Growth: High single digits

The bank expects to complete the full system conversion for the VBI acquisition in the third quarter of 2026. Management remains focused on leveraging its strong capital position to support further organic growth and explore opportunistic acquisitions in attractive Southeast markets.

Reasons to Pass on SBCF

Earnings distorted by acquisition effects: Fourth-quarter results were heavily influenced by the VBI acquisition, limiting comparability with prior periods.

Large upfront credit provision: The bank recorded $23.4 million in day-one credit costs tied to acquired loans, underscoring near-term credit risk.

Near-term earnings hit from securities repositioning: A pre-tax loss of about $39.5 million is expected in 1Q26 from portfolio repositioning.

Integration not yet complete: Full system conversion for the VBI acquisition is scheduled for 3Q26, leaving execution risk in the interim.

Dependence on adjusted metrics: Reported performance and 2026 guidance rely heavily on adjusted results rather than GAAP earnings.

Outlook assumes favorable macro conditions: Management guidance depends on expected rate cuts and a stable economic backdrop, which may not materialize.

Increased operational complexity: The sharp post-acquisition expansion in assets, loans, and deposits raises integration and risk-management demands.
