Thinking Of Vibe Coding Your CLM? Consider These Five Trade-Offs First

Interest in build vs. buy for contract lifecycle management (CLM) is resurging, eerily invoking early 2000s vibes (pun intended). AI makes it easy to spin up something that looks like a CLM system — if you squint, you can see it.

I keep thinking of a recent article about a Wall Street techie that vibe coded a Bloomberg Terminal in a weekend with AI and a browser and declared victory. Unfortunately, his finance colleagues could tell the difference, calling it “laughable at best, horrific at worst.” Sure, the interface looked the part, but it missed the depth, data, and judgment that make the real Bloomberg Terminal indispensable to people whose decisions move money. The same is happening with CLM.

It’s not that I’m against building. But let’s get real — this isn’t 2006, and most companies no longer have the internal resources, muscle memory, institutional knowledge, or appetite to maintain complex business software in-house. They spent the last decade getting out of that business for a reason.

A commercial CLM doesn’t just read documents and automate workflows; it provides contract-specific reasoning, traceability, security, and scale out of the box. So before turning Copilot and PowerApps into your next “CLM strategy,” consider these five trade-offs. You’ll thank me later.

1. Time to value vs. time to build

Buying a CLM platform gets you productized workflows, review controls, and integrations faster than building them yourself. Building sounds flexible, but it also means designing the logic, testing the outputs, and governing the entire experience before anyone gets value from it.

A demo can be built in days. A production-ready system that legal, procurement, sales, finance, and audit can trust takes much longer. The constraint isn’t speed to develop; it’s trustworthiness under scrutiny.

2. Contract reasoning vs. generic AI output

One of the most common build requirements is that the AI must apply different reasoning to different types of contracts. That is not a cool add-on; it’s the actual job of CLM.

Modern CLM platforms use playbooks, clause models, and contract-type-specific logic to score the same clause differently depending on the paper, the risk posture, and the fallback language. Generic copilots can summarize and suggest but don’t inherently know how to apply policy or regulatory requirements consistently across contract types, jurisdictions, and business contexts.

3. Redlines that impress vs. redlines you can defend

Yes, an AI agent can generate redlines. But that does not mean those redlines are reliable, explainable, or aligned to legal and regulatory standards. CLM isn’t just about output. It has to produce coordinated output: a scorecard, usable redlines, and recommended actions tied to workflow. If you build this yourself, consistency depends on your prompts, your controls, and the handful of people who know how the whole thing works. That’s not innovation; that’s concentration risk wearing a hoodie.

4. Feature flexibility vs. governance reality

The build argument usually focuses on flexibility. Fine. But flexibility without governance is just a fast way to create audit findings. CLM platforms are increasingly judged on how well they operationalize obligations, renewals, risk, and post-signature accountability across enterprise systems. That means full responsibility for model hallucinations — both catching and fixing them. Plus, the ongoing maintenance for explainability, auditability, security, approvals, metadata, and clean integration. These are not “nice to have” features; they’re the product, and if you build, you own all of it.

5. Vendor dependency vs. internal maintenance burden

Some teams say they want to build to avoid vendor dependency and lock-in, and that’s a fair concern. However, the alternative is dependence on internal experts, custom logic, and a stack that your own team has to maintain, secure, and update forever.

That’s the part people often forget. You’re not just building an app; you’re taking on playbook maintenance, prompt drift, regression testing, routing logic, audit controls, and production support. In other words, you become a CLM vendor. Most organizations don’t actually want that job, and they’re usually reminded as to why about six months after launch.

Bottom line

CLM already has a messaging problem because too many products sound the same even when they are not built alike. Don’t make the confusion worse by mistaking a contract intake workflow and an AI redlining agent for a full CLM platform. The better question is not, “Can we build this?” It’s, “Do we really want to own everything required to run it well?” That question usually answers itself.
