I keep thinking of a recent article about a Wall Street techie that vibe coded a Bloomberg Terminal in a weekend with AI and a browser and declared victory. Unfortunately, his finance colleagues could tell the difference, calling it “laughable at best, horrific at worst.” Sure, the interface looked the part, but it missed the depth, data, and judgment that make the real Bloomberg Terminal indispensable to people whose decisions move money. The same is happening with CLM.

It’s not that I’m against building. But let’s get real — this isn’t 2006, and most companies no longer have the internal resources, muscle memory, institutional knowledge, or appetite to maintain complex business software in-house. They spent the last decade getting out of that business for a reason.

A commercial CLM doesn’t just read documents and automate workflows; it provides contract-specific reasoning, traceability, security, and scale out of the box. So before turning Copilot and PowerApps into your next “CLM strategy,” consider these five trade-offs. You’ll thank me later.

1. Time to value vs. time to build

Buying a CLM platform gets you productized workflows, review controls, and integrations faster than building them yourself. Building sounds flexible, but it also means designing the logic, testing the outputs, and governing the entire experience before anyone gets value from it.

A demo can be built in days. A production-ready system that legal, procurement, sales, finance, and audit can trust takes much longer. The constraint isn’t speed to develop; it’s trustworthiness under scrutiny.

2. Contract reasoning vs. generic AI output

One of the most common build requirements is that the AI must apply different reasoning to different types of contracts. That is not a cool add-on; it’s the actual job of CLM.

Modern CLM platforms use playbooks, clause models, and contract-type-specific logic to score the same clause differently depending on the paper, the risk posture, and the fallback language. CLM platforms are increasingly judged on how well they operationalize obligations, renewals, risk, and post-signature accountability across enterprise systems. Plus, the ongoing maintenance for explainability, auditability, security, approvals, metadata, and clean integration. These are not “nice to have” features; they’re the product, and if you build, you own all of it.

Some teams say they want to build to avoid vendor dependency and lock-in, and that’s a fair concern. However, the alternative is dependence on internal experts, custom logic, and a stack that your own team has to maintain, secure, and update forever.
